Pluristem Therapeutics to raise $2.7M through private placement of restricted common stock

Pluristem Therapeutics Inc. (Nasdaq:PSTI) (DAX:PJT) today announced that it has entered into definitive agreements with selected investors to sell restricted common stock and warrants for aggregate gross proceeds of approximately $2.7 million. The offering includes 2,420,293 shares of common stock, warrants to purchase 726,088 shares of common stock at an exercise price of $1.25 per share and warrants to purchase 726,088 shares of common stock at an exercise price of $1.40 per share. The warrants will be exercisable for a period of two and a half years and five years respectively commencing six months following the issuance thereof. The closing is scheduled to take place no later than close of business today, April 27, 2010.

The shares of common stock and warrants being sold in the private placement have not been registered under the Securities Act of 1933, as amended, or applicable state securities laws, and unless so registered, may not be offered or sold in the United States except pursuant to an applicable exemption from the registration requirements of the Securities Act of 1933, as amended, and applicable state securities laws.
